    Membership, Listing & Participation Terms

    These Membership, Listing & Participation Terms (“Terms”) govern participation in, access to, and use of National Roofing Directory, NationalRoofingDirectory.com, and related websites, directories, communications, marketing services, tools, listings, profiles, and services operated by BrockStar Media Corp. (“NRD,” “we,” “us,” or “our”).

    By claiming a listing, purchasing a membership, submitting information, creating or modifying a profile, communicating with NRD, or otherwise participating in NRD services, you agree to these Terms.

    01Participation Is a Revocable Privilege

    Participation in NRD is offered at our discretion.

    Membership, verification, profile access, listing placement, directory visibility, badges, rankings, lead opportunities, promotional features, and other benefits are revocable privileges and not vested contractual rights, except for the limited services expressly stated in the applicable purchased plan.

    No membership or payment creates any ownership interest in NRD, its website, databases, rankings, traffic, leads, advertising inventory, intellectual property, customer relationships, or business operations.

    NRD may, in its discretion:

    • approve or reject participation
    • modify or correct listings
    • change classifications or categories
    • modify ranking or placement
    • add or remove badges
    • suspend or terminate accounts
    • discontinue features
    • alter membership benefits
    • remove or suppress content
    • refuse renewals
    • discontinue participation entirely

    Nothing in these Terms creates a continuing obligation for NRD to maintain any particular feature, placement, ranking, appearance, format, or service indefinitely.

    02No Agency, Partnership, Fiduciary Relationship, or Special Duty

    Participation does not create a partnership, agency, franchise, employment relationship, joint venture, fiduciary relationship, referral partnership, brokerage relationship, or other special relationship between NRD and a participant.

    NRD does not assume a duty to generate business, protect a participant from competition, monitor market conditions, verify every third-party statement, maintain a particular search position, or act in the participant's economic interests.

    NRD remains an independent directory, publishing, advertising, data, and marketing platform.

    03Publicly Available Directory Information

    NRD has independently created and compiled listings using information obtained from sources that may include public websites, business directories, governmental records, licensing databases, social media, publicly accessible business information, industry sources, customer submissions, automated data processes, and other publicly available sources.

    A business does not acquire ownership of NRD's database entry, directory structure, categorization, compilation, ranking, metadata, descriptive material, or other material independently created by NRD merely because that information concerns the business.

    Information compiled by NRD prior to a business claiming or purchasing a listing may remain part of NRD's directory database subject to applicable law.

    Claiming a profile permits the participant to submit corrections and additional information but does not transfer ownership of NRD's database or independently created content.

    04Information Submitted to NRD

    A participant may voluntarily provide business information including names, addresses, telephone numbers, email addresses, websites, service areas, company descriptions, licensing information, insurance information, photographs, logos, project information, videos, personnel information, certifications, pricing information, promotional materials, and other content.

    By providing material to NRD, you represent that you possess sufficient rights and authority to provide and authorize use of that material.

    You grant NRD and BrockStar Media Corp. a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, format, resize, adapt, display, publish, distribute, promote, advertise, syndicate, index, and otherwise use submitted materials in connection with:

    • NRD
    • directory services
    • advertising
    • marketing
    • social media
    • search-engine optimization
    • promotional materials
    • email communications
    • lead-generation services
    • related BrockStar Media Corp. products and services
    • promotion of NRD itself

    This license continues for as long as reasonably necessary for these purposes, including archival, historical, backup, legal, and previously published materials.

    05NRD Is a Marketing and Advertising Business

    Participants expressly acknowledge that National Roofing Directory is owned and operated by a marketing and media company.

    Information submitted to NRD may therefore be used for directory, advertising, promotional, lead-generation, audience-development, analytical, marketing, and related commercial purposes.

    Participants should not submit information they do not want used in connection with those activities.

    Business contact information submitted for publication may be displayed publicly and may be distributed, syndicated, reformatted, promoted, or incorporated into NRD marketing and directory products.

    Use of personally identifiable information remains subject to applicable law and NRD's Privacy Policy.

    06Data Collection and Use

    NRD may collect information concerning participants, businesses, visitors, leads, website activity, interactions, communications, traffic, referrals, advertising performance, profile activity, engagement, search activity, geographic information, device information, and other information reasonably related to operating, improving, protecting, analyzing, monetizing, advertising, and marketing NRD and its services.

    Subject to applicable law and our Privacy Policy, NRD may:

    • combine information from multiple sources
    • verify and enrich business information
    • maintain historical information
    • create analytics and statistics
    • develop rankings and classifications
    • use information for marketing and advertising
    • share information with service providers
    • distribute business-directory information
    • develop commercial data products
    • measure advertising effectiveness
    • use aggregated or de-identified information for any lawful business purpose

    Participation constitutes acknowledgement that information supplied to a marketing and directory service will be processed and used in furtherance of those services.

    07No Guarantee of Visibility, Ranking, Traffic, Leads, or Revenue

    NRD makes no guarantee whatsoever regarding:

    • search-engine rankings
    • Google placement
    • NRD directory rankings
    • page views
    • profile impressions
    • clicks
    • telephone calls
    • emails
    • inquiries
    • leads
    • lead quality
    • conversion rates
    • geographic exposure
    • advertising performance
    • customer acquisition
    • sales
    • revenue
    • profitability
    • return on investment

    Membership purchases access to the features associated with the applicable membership level. It does not purchase a guaranteed quantity of traffic, leads, customers, jobs, sales, or revenue. Search rankings, customer behavior, competition, algorithms, market demand, and other factors are outside NRD's control.

    08Ranking and Placement

    NRD alone determines how listings, profiles, companies, advertisements, featured positions, editorial selections, badges, recommendations, and search results appear.

    Placement may be influenced by numerous factors, including membership level, verification status, geography, relevance, profile completeness, user activity, editorial considerations, commercial arrangements, availability, performance, or other factors determined by NRD.

    No participant acquires a permanent right to a particular position. NRD may modify its ranking methodology without advance notice.

    09Verification Does Not Constitute a Guarantee

    Any “Verified,” “Preferred,” “Editor’s Choice,” featured, certified, reviewed, checked, or similar NRD designation reflects only the particular review, criteria, or process established by NRD at the applicable time.

    Such designation does not constitute a warranty, guarantee, insurance policy, legal certification, endorsement of every act of the company, or promise concerning future performance.

    NRD may change verification standards and may revoke a designation if information changes or NRD determines that the designation should no longer apply.

    10Fees and No-Refund Policy

    Except where otherwise expressly required by law, all fees are final and non-refundable once charged.

    This includes:

    • membership fees
    • verification fees
    • listing fees
    • profile fees
    • advertising fees
    • upgrade fees
    • promotional fees
    • lead-related fees
    • editing fees
    • other purchased services

    Failure to receive anticipated traffic, leads, rankings, sales, or business results does not create a right to a refund. Cancellation stops future billing where applicable but does not retroactively cancel charges already earned or incurred.

    11NRD’s Right to Cure

    Before asserting any claim relating to NRD’s services, the participant must provide NRD written notice describing the alleged problem with reasonable specificity.

    NRD shall have a reasonable opportunity to investigate and cure the issue.

    To the fullest extent permitted by law, NRD may determine an appropriate cure based upon the circumstances, which may include:

    • correcting information
    • modifying a listing
    • restoring a feature
    • providing account credit
    • extending service
    • replacing an advertising placement
    • removing content
    • adjusting a membership
    • correcting billing
    • taking another commercially reasonable action selected by NRD

    A participant may not demand a particular remedy where NRD has provided a reasonable cure.

    12Release and Limitation of Claims

    To the fullest extent permitted by applicable law, participation in NRD constitutes acceptance of the ordinary commercial risks associated with directories, advertising, marketing, Internet publishing, and lead-generation services.

    Participants release NRD, BrockStar Media Corp., and their officers, directors, employees, contractors, affiliates, and agents from claims arising solely from:

    • directory placement
    • ranking changes
    • loss of visibility
    • failure to receive leads
    • lead quality
    • actions of third-party customers
    • changes in website features
    • suspension or termination permitted under these Terms
    • inaccurate information obtained from public sources where NRD reasonably corrects it after notice
    • marketing results falling below participant expectations

    Nothing in these Terms waives a right that applicable law prohibits a party from waiving.

    13Limitation of Liability

    To the fullest extent permitted by law, NRD shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, lost opportunities, lost goodwill, lost data, loss of ranking, or lost business arising from participation in NRD.

    Where liability cannot legally be excluded, NRD’s aggregate liability relating to a paid service shall not exceed the amount actually paid by the participant to NRD for the specific service giving rise to the claim during the three months immediately preceding the event giving rise to the claim.

    14Participant Responsibility

    Participants remain solely responsible for:

    • information they submit
    • representations made to consumers
    • licenses
    • insurance
    • permits
    • contracts
    • workmanship
    • warranties
    • employees
    • subcontractors
    • pricing
    • regulatory compliance
    • taxes
    • communications with customers
    • services actually provided

    NRD is not a party to any contract between a consumer and a listed business unless expressly stated otherwise in writing.

    15Opt-Out and Discontinuation

    Participation is voluntary.

    A business that does not wish to participate in membership services may cancel its membership or opt out according to the procedures provided by NRD.

    NRD may suppress or remove certain information upon an appropriate request where NRD determines removal is appropriate or applicable law requires it.

    Opting out does not necessarily require deletion of:

    • public records
    • historical directory information
    • archived materials
    • records necessary for legal or accounting purposes
    • information independently obtained from public sources
    • aggregate or de-identified information

    Where practical, an opt-out will end future paid membership participation and promotional services associated with the participant’s account.

    16Suspension and Termination

    NRD may immediately suspend, restrict, downgrade, or terminate participation when NRD reasonably believes a participant has:

    • provided false or misleading information
    • misused the platform
    • violated these Terms
    • engaged in abusive conduct
    • created legal or reputational risk
    • failed to pay amounts due
    • manipulated reviews, listings, rankings, or leads
    • infringed another person’s rights
    • otherwise acted contrary to NRD’s legitimate business interests

    Termination does not create a right to reimbursement of fees already earned or charged.

    17Platform Changes

    NRD is an evolving service.

    NRD may modify the website, pricing, membership levels, criteria, directory structure, features, badges, search systems, advertising programs, verification procedures, lead-routing systems, eligibility standards, or these Terms.

    Continued use after updated Terms become effective constitutes acceptance of the updated Terms where permitted by law.

    18No Exclusivity

    Unless NRD expressly agrees otherwise in a signed written agreement, membership is non-exclusive.

    NRD may list, advertise, recommend, feature, verify, market, or conduct business with competing companies in the same market.

    The presence or promotion of competitors does not violate these Terms.

    19Intellectual Property

    NRD’s website design, database arrangement, taxonomy, descriptions created by NRD, graphics, badges, verification systems, rankings, software, logos, brand elements, marketing materials, and other proprietary materials remain the property of NRD, BrockStar Media Corp., or their respective licensors.

    Membership provides only a limited, revocable permission to use designated membership materials in the manner authorized by NRD.

    20Entire Agreement

    These Terms, together with any applicable order form, pricing terms, Privacy Policy, verification rules, and other expressly incorporated policies, constitute the agreement governing participation in NRD.

    No salesperson, employee, contractor, email, advertisement, or informal communication may alter these Terms unless the modification is expressly authorized in writing by NRD.

    21Severability

    If a provision of these Terms is determined to be invalid or unenforceable, it shall be interpreted or limited to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in effect.

    22Governing Law and Dispute Resolution

    These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

    Before commencing formal proceedings, the parties shall first comply with the notice-and-cure procedure contained in section 11 of these Terms.

    Any dispute not resolved through that process is subject to the arbitration provision in section 23. Where a claim is excluded from arbitration under that section, or where the arbitration provision is held not to apply, it shall be brought exclusively in the state or federal courts located in North Carolina, and each party consents to the personal jurisdiction of those courts.

    23Binding Arbitration; Class Action Waiver

    Any dispute, claim, or controversy arising out of or relating to these Terms, participation in NRD, or the services — including their formation, interpretation, breach, termination, validity, or enforceability — that is not resolved through the notice-and-cure procedure in section 11 shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

    The arbitration shall be conducted by a single arbitrator, seated in North Carolina, and judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own attorneys' fees except where an applicable statute or the arbitrator provides otherwise.

    The following are excluded from arbitration and may be brought in court:

    • claims that qualify for small-claims court, brought on an individual basis
    • claims for injunctive or equitable relief to protect intellectual property, confidential information, or to address unauthorized access to the services

    CLASS ACTION WAIVER. Claims must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one participant or preside over any class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, this entire arbitration provision is void as to that claim and it shall proceed in court; the waiver is not severable from the agreement to arbitrate. THIRTY-DAY OPT-OUT: a participant may opt out of this section by sending written notice through our contact page within thirty days of first accepting these Terms, stating the participant name, the business, and an unambiguous intent to opt out. Opting out affects only this section and nothing else in these Terms.

    24Chargebacks and Payment Disputes

    If a participant believes a charge is incorrect, the participant shall notify NRD through our contact page and allow the notice-and-cure period in section 11 before initiating a chargeback or payment dispute with a card issuer or bank.

    Initiating a chargeback for services that were provided, or without first giving NRD notice and a reasonable opportunity to cure, is a material breach of these Terms.

    Where a chargeback is initiated contrary to this section, NRD may:

    • suspend or terminate participation and any associated listings, badges, or placements
    • withhold further services until the disputed amount and any associated fees are resolved
    • recover the disputed amount, card-network dispute fees, and reasonable costs of collection
    • decline future participation by the same business or its principals

    Nothing in this section limits any right a participant holds under applicable law or under the rules of a card network. This section states when NRD must be contacted first and what follows from a dispute raised without that contact; it does not purport to waive a statutory or card-network right, and any attempt to read it that way is void.

    Fee Schedule and Payment

    Claiming a listing carries a one-time flat service fee. It is charged once: editing your listing afterwards is included, with no per-edit charge and no limit on how often you correct it. Monthly membership tiers renew automatically until cancelled. Lapsing removes the associated badge and re-suppresses published contact details.

    Payment is processed by Stripe. Card details are entered into Stripe’s own payment interface and are never received or stored by NRD.

    Section 10 governs refunds. Fees are final and non-refundable once charged, except where applicable law requires otherwise.
